These General Terms & Conditions (“Terms”) govern your use of the website operated by Vinmax Creation (“we”, “us”, “our”) and your purchase of products manufactured by us under the brand Eighteen Steps. By accessing or using this website, by placing an enquiry, or by purchasing our products, you agree to be bound by these Terms. Please read them carefully before doing business with us.

1 About Us

Vinmax Creation is a manufacturer and supplier of boys' t-shirts under our flagship brand Eighteen Steps, which is the only brand operated by Vinmax Creation. Our principal place of business is:

2 Definitions

• “Buyer”, “you”, “your” — any individual, retailer, wholesaler, distributor or business that enquires about, purchases or otherwise deals with our products.
• “Goods” / “Products” — boys' t-shirts and related apparel manufactured and supplied by Vinmax Creation under the Eighteen Steps brand.
• “Order” — a confirmed request from the Buyer to purchase Goods, accepted by us in writing (including WhatsApp, email or signed proforma invoice).
• “Website” — vinmaxcreation.in.

3 Use of the Website

• The content on this website is provided for general information about our company, brand, manufacturing process and product collections.
• You agree to use the website only for lawful purposes and in a manner that does not infringe the rights of, or restrict the use of this website by, any third party.
• You may not copy, reproduce, republish, upload, post, transmit or distribute any content from this website (including images, text, designs and the Eighteen Steps brand assets) without our prior written consent.
• We may change, suspend or discontinue any part of the website at any time without notice.

4 Product Information

We make every effort to display the colours, fabrics, fits, prints and details of our products as accurately as possible. However:

• Slight variations in colour, print placement and finish may occur due to manufacturing processes, fabric batches and differences between display devices.
• Catalogue images are representative; actual fabric weight (GSM), shade and texture are confirmed against physical samples.
• Product specifications, sizes and styles are subject to change without prior notice as we improve our offerings.

5 Orders & Pricing

• All orders are subject to confirmation by Vinmax Creation in writing (signed proforma invoice, email or WhatsApp confirmation).
• Prices, sizes, designs and availability are subject to change without prior notice. The price prevailing on the date of the proforma invoice will apply.
• Applicable taxes (including GST), packing charges and shipping/transport charges will be charged separately as per actuals, unless otherwise mutually agreed.
• Minimum order quantities (MOQs), size assortments and lead times will be communicated at the time of enquiry.
• Cancellation of a confirmed order is permitted only before cutting has begun. Once production starts, the order cannot be cancelled.

6 Payment Terms

• Payment terms (advance, against delivery, or credit) will be agreed upon at the time of order confirmation and recorded in the proforma invoice.
• Default terms (where not otherwise agreed) require an advance of at least 30% of the invoice value at the time of order confirmation, with the balance payable before despatch.
• Goods remain the property of Vinmax Creation until full payment is received in our designated bank account.
• For credit accounts, late payment beyond the agreed credit period may attract interest at 18% per annum, calculated from the invoice date.
• All payments must be made in Indian Rupees (INR) to our designated bank account. Receipts of payment will be issued by email.

7 Delivery

• Delivery timelines indicated by us are estimates only. While we make every effort to despatch on time, we shall not be liable for delays caused by transport partners, force majeure events, government restrictions, raw material shortages or any other reasons beyond our reasonable control.
• Risk in the Goods passes to the Buyer at the time of handover to the transporter from our premises in Tiruppur.
• Insurance of goods in transit is the Buyer's responsibility unless otherwise agreed in writing.
• Any short receipt or transit damage must be noted on the lorry receipt at the time of delivery and reported to us within 48 hours with photographs.

8 Returns & Defects

• Any manufacturing defects must be reported in writing within 7 (seven) days of receipt of goods, with clear photographs and the original invoice / lorry receipt.
• We reserve the right to inspect the goods (or pictures of the goods) before deciding on replacement, repair or credit.
• Goods sold are not returnable except for verified manufacturing defects. Differences in shade, prints or fit perception that are within accepted manufacturing tolerances do not qualify as defects.
• Goods damaged due to mishandling in transit, improper storage, washing or normal wear and tear are not eligible for return.

9 Intellectual Property

All trademarks (including the brand name Eighteen Steps and the Vinmax Creation logo), designs, prints, photographs, graphics, text and content on this website and on our products are the exclusive property of Vinmax Creation and are protected under applicable Indian and international intellectual property laws.

• You may not use, reproduce, copy or imitate any of our trademarks, prints or designs without our prior written consent.
• Any unauthorised use will be treated as infringement and will attract legal action including civil and criminal remedies.

10 Confidentiality

Pricing, design files, sample artworks, fabric specifications and other commercial information shared between Vinmax Creation and the Buyer are confidential and shall not be disclosed to any third party (including competitors) without prior written consent of the disclosing party.

11 Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is caused by events beyond reasonable control, including but not limited to natural disasters, fire, floods, strikes, lockouts, epidemics, pandemics, transport disruption, war, terrorism, riots, government action or restrictions, power outages or failure of internet or telecommunications.

12 Limitation of Liability

To the maximum extent permitted by law:

• Vinmax Creation shall not be liable for any indirect, incidental, special, consequential or punitive damages (including loss of profit, loss of goodwill or loss of business opportunity) arising out of or in connection with your use of this website or our products.
• Our total aggregate liability arising out of or in connection with any single order shall not exceed the invoice value of that order.

13 Indemnity

You agree to indemnify and hold harmless Vinmax Creation, its partners, employees and agents from any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our products or website, or your infringement of any third-party rights.

14 Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. Failing that, the dispute shall be subject to the exclusive jurisdiction of the courts at Tiruppur, Tamil Nadu.

15 Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable by any court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

16 Changes to Terms

We may update these Terms from time to time. The latest version will always be available on this page with a revised “Last updated” date. Continued use of the website or placing further orders after such changes will be deemed as acceptance of the updated Terms.
